ScalifyHub is a digital marketing agency providing services including but not limited to:

2. Acceptance of Terms

By using our website or purchasing any service from ScalifyHub, you agree to comply with these Terms & Conditions and all applicable laws of India.

3. Service Engagement

Services shall commence only after:

  • Acceptance of the proposal or quotation.
  • Completion of required documentation.
  • Receipt of agreed advance payment.

The scope of work shall be limited to the services mentioned in the approved proposal or agreement.

4. Client Obligations

The Client agrees to:

  • Provide accurate business information.
  • Supply required content, logos, credentials, and approvals on time.
  • Ensure all provided materials comply with applicable laws and do not infringe third-party rights.
  • Cooperate with ScalifyHub throughout the project.

Delays caused by the Client may impact project timelines and deliverables.

5. Payments & Billing

5.1 Fees
Service fees shall be as specified in the proposal, invoice, or agreement.

5.2 Advance Payment
ScalifyHub may require an advance payment before work begins.

5.3 Late Payments

  • Invoices must be paid within the due date specified on the invoice.
  • ScalifyHub reserves the right to suspend services for overdue accounts.
  • Interest up to 18% per annum may be charged where permitted by law.

5.4 Taxes

  • All fees are exclusive of applicable taxes unless expressly stated otherwise.
  • GST, where applicable, shall be charged separately.

6. No Guaranteed Results

Digital marketing results depend on numerous factors beyond our control.

ScalifyHub does not guarantee:

  • First-page rankings on search engines.
  • Specific lead volumes.
  • Revenue increases.
  • Sales targets.
  • Social media growth metrics.

Any projections provided are estimates and should not be considered guarantees.

7. Advertising Services

For paid advertising campaigns:

  • Ad budgets are separate from agency fees.
  • Advertising platform charges are payable by the Client.
  • ScalifyHub is not responsible for account suspensions, ad rejections, policy violations, or platform outages caused by third-party providers.

8. Intellectual Property

Upon full payment of all outstanding invoices:

  • The Client shall own final approved deliverables specifically created for the Client.
  • ScalifyHub retains ownership of proprietary methodologies, templates, software, frameworks, processes, and internal tools.
  • The Client grants ScalifyHub the right to display completed work in portfolios, case studies, and promotional materials unless otherwise agreed in writing.

9. Confidentiality

Both parties agree to keep confidential all non-public business information disclosed during the engagement.

This obligation shall survive termination of the agreement.

10. Data Protection & Privacy

ScalifyHub shall process personal data in accordance with:

  • Digital Personal Data Protection Act, 2023
  • Information Technology Act, 2000
  • Applicable Indian privacy laws

The Client warrants that any personal data shared with ScalifyHub has been collected lawfully and with appropriate consent where required.

11. Third-Party Services

ScalifyHub may use third-party tools and platforms including:

  • Google
  • Meta
  • LinkedIn
  • WordPress
  • Hosting providers
  • CRM software providers

We are not responsible for:

  • Service interruptions
  • Platform policy changes
  • Third-party security incidents
  • Data loss caused by third-party systems

12. Limitation of Liability

To the maximum extent permitted under Indian law, ScalifyHub shall not be liable for:

  • Indirect losses
  • Loss of profits
  • Loss of business opportunities
  • Loss of data
  • Consequential damages

ScalifyHub's total liability shall not exceed the amount paid by the Client for the services giving rise to the claim during the preceding three months.

13. Indemnification

The Client agrees to indemnify and hold ScalifyHub harmless from any claims, losses, damages, liabilities, and legal expenses arising from:

  • Client-provided content.
  • Copyright infringement.
  • Trademark disputes.
  • Misleading advertisements.
  • Regulatory violations.

14. Termination

Either party may terminate services by providing written notice.

Upon termination:

  • Outstanding fees become immediately payable.
  • Work completed up to the termination date shall be invoiced.
  • ScalifyHub may suspend access to deliverables until all dues are cleared.

15. Refund Policy

Unless otherwise stated in a written agreement:

  • Advance payments are non-refundable.
  • Monthly retainers are non-refundable.
  • Advertising spend paid to third-party platforms is non-refundable.
  • Refund requests shall be considered solely at the discretion of ScalifyHub.

16. Force Majeure

Neither party shall be liable for delays or failures caused by circumstances beyond reasonable control, including:

  • Natural disasters
  • Government restrictions
  • Internet disruptions
  • Cyberattacks
  • Pandemics
  • Power failures

17. Website Usage

Users agree not to:

  • Use the website for unlawful purposes.
  • Attempt unauthorized access to systems.
  • Upload malicious software or harmful content.
  • Violate intellectual property rights.

ScalifyHub reserves the right to restrict access for violations.

18. Amendments

ScalifyHub may modify these Terms & Conditions at any time. Updated versions shall be posted on the website and become effective immediately upon publication.

19. Governing Law & Jurisdiction

These Terms & Conditions shall be governed by the laws of India, including the provisions of:

  • Indian Contract Act, 1872
  • Information Technology Act, 2000

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Jaipur, Rajasthan, India.
